SimGenerator Platform Terms · Last updated

About these terms

These Platform Terms are between you and Live Furnish, Inc., a Delaware corporation doing business as imagine.io ("we", "us" or "our"). They govern your use of simgenerator.com, its accounts, generation features, library, tools and APIs (the "Service"). When you sign up or otherwise expressly accept these terms, you agree to them. If you act for an organisation, you confirm that you have authority to accept on its behalf, and "you" includes that organisation.

You must have legal capacity to enter this agreement. The Service is intended for professional users and is not directed to children under 16.

The Commercial Licence governs eligible content and applies alongside these terms. In a conflict about content rights, a signed Enterprise agreement takes precedence over an applicable signed Extended License Addendum, then the Commercial Licence, then these terms. Separately agreed project terms govern their stated scope. Third-party content and previously granted licences retain their own terms.

Accounts and organisations

Provide accurate account and billing information, keep it current, and complete verification when required. Protect your password and API keys, use your own login, and tell us promptly if you suspect unauthorised access. You are responsible for activity you authorise through your account and API keys.

Organisation owners and administrators manage membership, permissions and the organisation's plan. Members may use shared credits and access shared content within their permissions. Check the active organisation before starting work or making a purchase. API requests use the organisation assigned to the key. Unlimited seats do not mean unlimited credits, shared passwords or permission to redistribute content outside its licence.

Plans and payment

The offer and checkout shown before purchase state the price, currency, billing interval, included credits and any applicable taxes. Paid subscriptions renew automatically at the stated interval until cancelled. A monthly subscription is billed monthly; an annual subscription is billed for the year. Purchasing a one-time credit top-up does not by itself start a subscription.

By confirming a paid order, you authorise its disclosed charges and, for a subscription, its recurring charges. Payments are processed through Stripe. A checkout redirect alone does not confirm payment; the account is updated after payment confirmation. Keep your payment method current. Unpaid or reversed payments can affect access and entitlements, subject to applicable law and the relevant licence.

Any custom-authoring allowance is the one stated in your purchased plan. Scope, delivery schedule, revisions, acceptance criteria and the review and acceptance process are agreed in writing for the request. Digital-twin projects are separately scoped and quoted unless a written offer expressly includes them.

Credits

Credits are a prepaid entitlement to use eligible Service features, not money, a deposit or an investment. They cannot be sold, transferred outside the supported organisation features or redeemed for cash, except where required by law or expressly agreed by us.

Plan credits refresh monthly and unused plan credits do not roll over. Annual plans also receive monthly allowances; the entire year's credits are not granted upfront. The account displays the relevant refresh date. The Free monthly allowance applies to eligible personal accounts, not every team organisation.

Purchased top-up credits do not expire and remain available through an ordinary upgrade, downgrade or subscription cancellation. Plan credits are spent before top-up credits. Starting a paid subscription replaces unused Free-plan credits with the paid allowance; it does not remove purchased top-ups.

The Service displays the applicable credit cost before you submit, purchase or approve a chargeable action. A preview or planning result is not necessarily the final generated package. Where a workflow includes a separate build approval, review the selected parts and total before confirming. If you choose a workflow with automatic approval, the disclosed build charges can apply when planning completes.

Plan changes and cancellation

You can manage or cancel your subscription through the account's plan controls. Organisation plans require an owner or administrator. If you cannot access those controls, contact admin@imagine.io for help.

Cancellation stops the next renewal. Paid access continues until the end of the current paid billing period, including the annual period for an annual subscription. Unused plan credits expire when the plan ends; purchased top-ups remain. Cancellation does not automatically refund a charge already paid.

An upgrade to a higher monthly allowance on the same billing interval takes effect immediately with a prorated charge. A monthly-to-annual change with the same or a higher monthly allowance also takes effect immediately. Lower-allowance changes and annual-to-monthly changes take effect at the end of the current paid billing period. The confirmation screen shows the effective date and charge or estimate before you confirm.

An immediate upgrade adds only the positive difference between the monthly allowances, prorated for the time remaining in the current credit month and rounded down to whole credits. It does not grant a second full allowance. Remaining credits stay available under their existing expiry rules. Changing to annual billing does not grant a year's credits upfront.

Generation and credit returns

Generation can take time, fail or produce a result that needs further review. Credit charges and returns depend on the pricing mode and the work delivered. For a flat-price generation, a failed or cancelled run, or a completed run without a downloadable package, returns that run's generation charge. For per-part builds, settlement returns failed or cancelled build charges and adjusts successful partial deliveries for paid parts or placement work that was not delivered.

If a workflow separately discloses and charges for planning, a delivered plan can remain chargeable even if you later cancel the build or its approval expires. Planning with a displayed cost of zero is not charged. Closing a tab or switching pages does not cancel a job; use the available cancellation control.

Credit returns are processed after the job is settled and may not appear immediately. They are returns to your credit balance, not automatic cash refunds. Contact us if a failed job or its credit adjustment appears incorrect. Dissatisfaction with an otherwise delivered result is reviewed under the refund provisions below.

Refunds and billing errors

Subscription payments and credit top-ups are generally non-refundable, including unused subscription time or unused credits after cancellation. Spending credits on a content licence is generally non-refundable under the applicable licence. Exceptions apply to billing errors, service failures and any refund or cancellation rights required by law.

To report a duplicate or incorrect charge, or request a remedy for a service failure, contact admin@imagine.io with the account email, invoice or transaction reference and a short explanation. Do not send full payment-card details. We will investigate and provide an appropriate correction, credit return or refund for a confirmed issue. A generation credit return and a cash refund for the same charge are not separate entitlements.

Refunds or payment reversals may remove the corresponding credits and affect content rights as stated in the Commercial Licence. Nothing in these terms limits mandatory consumer rights or your right to dispute an unauthorised charge.

Inputs and content rights

You retain any rights you hold in prompts, images, files and other inputs you submit. You must have the rights and permissions needed for their use in the Service, including any personal information or confidential material. You authorise us and our service providers to host, process, reproduce and transform those inputs as needed to operate the requested features, deliver results, support your account and protect the Service.

Content licences, rather than account ownership alone, determine how you may use downloaded or generated files. Eligible paid-plan content and hand-authored library content acquired using purchased credits on the Free plan are governed by the Commercial Licence. Buying credits on the Free plan does not by itself grant commercial rights to Free-plan generations. Upgrading later does not automatically relicense previously acquired content.

No general right to resell, redistribute or sublicense asset, environment or material files is granted by these terms. Rights in renders, simulation outputs, trained models and synthetic datasets depend on the applicable content licence. Authorised internal use and service-provider access must also follow that licence. Separate licensing of an environment does not automatically grant independent licences to every library item it contains.

Any additional rights to use content for model improvement are governed by the applicable content licence or signed agreement. This input-processing permission does not independently expand those rights. The Privacy policy explains how generation information is handled. We retain our rights in the Service, software, models, tools and branding.

Free-plan content

This section supplies the Free-plan terms referenced by the Commercial Licence. It applies to content obtained without a commercial licence, including Free-plan generations and free library downloads. It does not replace an existing Creative Commons licence, third-party licence or an express separate grant.

We grant you a non-exclusive, non-transferable permission to download, store, modify and use this content for your own noncommercial research, education and experimentation, subject to these terms. You may share noncommercial renders, figures, reports and aggregate findings that do not contain reusable content files. This permission does not allow distribution of synthetic datasets unless separately permitted in writing. It does not allow commercial deployment, paid client work, resale, redistribution or sublicensing of the content files, including modified or converted versions.

Do not place the files in public repositories, asset marketplaces or products from which others can extract them. Do not use them to build a competing content library or a model for generating 3D assets, environments, materials or textures. Preserve applicable licence and provenance notices. Contact us before using Free-plan content in a way that needs commercial or distribution rights.

Acceptable use

Use the Service lawfully and respect other people's intellectual property, privacy and confidentiality. Do not submit unlawful material, malware or content that you are not entitled to use. Do not impersonate another person, access another account without permission or expose credentials.

Do not bypass payment, verification, security or usage limits; create accounts to abuse free allowances; interfere with the Service; or scrape protected content. Use APIs within their documented limits. Do not reverse engineer protected parts of the Service except where applicable law expressly permits it. Report suspected vulnerabilities privately to admin@imagine.io.

You are responsible for complying with applicable export controls and sanctions and for ensuring that your use of content, simulation outputs and trained systems is lawful.

Privacy and tracking

Our Privacy policy explains personal-information handling, and our Cookie notice explains cookies and similar technologies. Signing up or accepting these terms does not itself grant permission for optional analytics, advertising or session recordings. Those controls continue to follow your privacy choices and the applicable regional settings.

We may send essential account, verification, security, billing and service messages. Optional marketing communications remain subject to their applicable choices and unsubscribe controls.

We use access controls and other technical and organisational measures designed to protect information, as described in the Privacy policy's security section. No internet service or storage system can guarantee complete security.

Availability and validation

Except for an express promise in an applicable licence or signed agreement, the Service is provided as available and as is, to the extent permitted by law. We do not promise uninterrupted access, a particular generation result or compatibility with every simulator or version. Published validation findings apply to the profiles and versions tested; they are not a certification of your system.

You must inspect results and validate them for your intended use, including physics, scale, articulation and sim-to-real behaviour. Simulation is not a substitute for appropriate physical-world testing or safety assessment. No Service result certifies a robot, vehicle or other system for safety-critical use. The Commercial Licence's express warranties and content-specific provisions remain unchanged.

Keep backups of content and records you need. We do not promise indefinite hosting or re-download availability. We may update features, limits and supported integrations, subject to your purchased commitments and applicable rights.

Suspension and ending access

We may restrict access where reasonably necessary to address a material breach, nonpayment, fraud, a security threat or a legal requirement. Where practicable, we will explain the issue and provide an opportunity to resolve it; urgent action may be necessary to protect users or the Service.

You may stop using the Service and request account closure through the available controls or by contacting us. Cancelling a subscription and deleting an account are different actions. Before requesting deletion, cancel unwanted renewals and download any content and records you need. Contact us about unused purchased credits before closing an account. Statutory remedies and refunds for qualifying service failures remain available.

Ending account access does not automatically cancel a continuing content licence. Content rights, termination and required deletion of files are governed by the applicable licence. Payment obligations already incurred and provisions intended to survive, including content restrictions, liability and dispute terms, continue as applicable.

Liability

To the extent permitted by law, neither party is liable under these Platform Terms for indirect, consequential, special or punitive losses, or loss of profit, revenue, data or goodwill. This does not excuse fees you owe or override the content-specific obligations, indemnities or exceptions in the Commercial Licence.

To the extent permitted by law, our total liability arising from the Service under these Platform Terms in any twelve-month period will not exceed the greater of the fees you paid us for the Service in that period and US$1,000. Liability relating to licensed content remains subject to the Commercial Licence's provisions; there is no double recovery for the same loss.

Nothing in these terms excludes or limits liability that cannot lawfully be excluded or limited, including fraud, or death or personal injury caused by negligence where such a limitation is not permitted. Mandatory consumer protections continue to apply.

Changes, governing law and contact

We may update these terms and will give notice of material changes through the Service or your account email, including when they take effect. Changes are prospective and do not retroactively remove content rights already granted. We will obtain renewed acceptance where required. Subscription price changes will be communicated before they apply so you can cancel before the relevant renewal.

These terms are governed by Delaware law, without its conflict-of-laws rules. Subject to mandatory rights that require otherwise, disputes are subject to the exclusive jurisdiction of the state and federal courts located in Austin, Texas. If a provision is unenforceable, the remaining provisions continue. A failure to enforce a provision is not a waiver.

These Platform Terms, the applicable content licence and any signed agreement form the agreement for their respective subject matter. These terms do not make either party an agent or partner of the other.
